1. Introduction

These Terms of Service ("Terms") govern the use of recruitment services provided by Spell Outsourcing ("we", "our", or "us"). By engaging our services, the client ("you", "your", or "Client") agrees to be legally bound by these Terms.

2. Services Provided

We provide recruitment and staffing services which may include but are not limited to:

  • Candidate sourcing and screening
  • Permanent, temporary, and contract placement
  • Recruitment Process Outsourcing (RPO)
  • Executive search
  • Talent consulting and market research

3. Client Responsibilities

  • Provide accurate job descriptions and hiring criteria
  • Respond in a timely manner regarding candidate feedback
  • Maintain compliance with all applicable employment laws and regulations
  • Not directly approach or hire candidates introduced by Spell Outsourcing outside of the agreed process

4. Candidate Ownership

All candidates introduced by Spell Outsourcing remain our property for 12 months from the date of introduction. If a candidate is hired by the client within this period—directly or indirectly—a placement fee will apply.

5. Fees and Payment Terms

  • Our fees will be outlined in a separate Recruitment Agreement or Proposal.
  • Payment terms are [e.g., 14 or 30 days] from the date of invoice.
  • Late payments may incur a statutory interest rate and/or collection charges.

6. Refund & Replacement Policy

If a candidate leaves or is terminated within [e.g., 8 weeks] of placement, Spell Outsourcing will provide a free replacement or partial refund, subject to the original agreement and provided that the invoice has been paid in full and on time.

7. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of service delivery, including candidate details, company operations, and business practices.

8. Data Protection

Spell Outsourcing complies with all applicable data protection regulations, including the UK GDPR and the Data Protection Act 2018. Client agrees to process candidate data responsibly and in compliance with relevant laws.

9. Limitation of Liability

We shall not be liable for:

  • Any indirect or consequential loss
  • Losses arising from the client's failure to assess a candidate's suitability
  • Any actions or conduct of candidates after employment begins

10. Termination

Either party may terminate the agreement with written notice. Any outstanding fees for work already completed will remain due. Termination does not affect the obligations related to previously introduced candidates.

11. Amendments

We reserve the right to update these Terms from time to time. Clients will be notified of changes via email or company website.
